1. Introduction
Welcome to BitChat, a customer communication, messaging, automation, and AI platform operated by BitWay Information Technology L.L.C, a company registered in Dubai, United Arab Emirates.
These Terms and Conditions govern your access to and use of BitChat, including:
• BitChat Web Platform
• BitChat Agent Mobile Application
• BitChat Website Live Chat Services
• WhatsApp Cloud API Integrations
• Facebook Messenger Integrations
• Instagram Direct Message Integrations
• Artificial Intelligence and Automation Features
• APIs, Webhooks, and Connected Services
• Any related websites, software, applications, or services provided by BitWay Information Technology
By accessing, registering for, or using BitChat, you agree to be legally bound by these Terms and Conditions.
2. Eligibility and Account Registration
You must be at least eighteen (18) years old and legally authorized to enter into binding agreements.
When creating an account, you agree to:
• Provide accurate, complete, and current information;
• Maintain the security of your account credentials;
• Notify BitWay immediately of any unauthorized access;
• Accept responsibility for all activities conducted through your account.
BitWay reserves the right to suspend, restrict, or terminate any account that violates these Terms or poses security, legal, or operational risks.
3. Services Provided
BitChat provides business communication and customer engagement tools including, but not limited to:
• Unified messaging inboxes;
• WhatsApp Cloud API management;
• Facebook Messenger integrations;
• Instagram messaging integrations;
• Website live chat services;
• Customer support management;
• Team collaboration tools;
• AI-powered customer service agents;
• Automated workflows and messaging;
• Mobile applications;
• APIs and third-party integrations.
BitWay may modify, enhance, suspend, replace, or discontinue any service or feature at any time.
Certain features may require subscription plans, usage-based fees, or separate activation.
4. Acceptable Use
You agree not to use BitChat for:
• Spam, unsolicited messaging, or mass messaging that violates applicable laws or platform policies;
• Fraudulent, deceptive, misleading, or illegal activities;
• Harassment, threats, hate speech, or abusive content;
• Impersonation of any individual or organization;
• Distribution of malware, viruses, or harmful software;
• Unauthorized access to systems, accounts, or data;
• Reverse engineering, copying, modifying, or attempting to extract source code;
• Violating Meta, WhatsApp, Instagram, Facebook, OpenAI, Google, Apple, or any third-party platform policies.
BitWay may suspend or terminate services immediately if misuse is detected.
5. Artificial Intelligence Services
BitChat may utilize artificial intelligence technologies provided by BitWay or third-party providers.
You acknowledge and agree that:
• AI-generated responses may contain inaccuracies;
• AI outputs should be reviewed before being relied upon;
• BitWay does not guarantee the accuracy, completeness, or suitability of AI-generated content;
• You remain responsible for all messages, actions, and decisions generated or approved through your account.
BitWay shall not be liable for business decisions made based on AI-generated content.
6. Third-Party Platforms and Integrations
BitChat integrates with third-party platforms including, but not limited to:
• WhatsApp Cloud API
• Meta Platforms
• Facebook Messenger
• Instagram
• OpenAI
• Google Services
• Apple Services
• Twilio and communication providers
• CRM and ERP systems
Availability of such integrations depends on the respective providers.
BitWay is not responsible for:
• Service interruptions caused by third parties;
• Platform policy changes;
• API limitations;
• Account restrictions imposed by third-party providers.
7. Intellectual Property Rights
All intellectual property rights relating to BitChat, including software, source code, user interfaces, branding, logos, content, documentation, AI models, and platform design, remain the exclusive property of BitWay Information Technology.
Nothing in these Terms transfers ownership rights to users.
Users may not:
• Reproduce;
• Resell;
• License;
• Modify;
• Copy;
• Distribute;
• Reverse engineer;
any part of BitChat without prior written permission.
8. Payments, Billing and Subscriptions
Where applicable:
• Subscription fees are billed in advance;
• Usage-based charges may apply to messaging, AI, or communication services;
• All fees are exclusive of taxes unless stated otherwise;
• Payments are non-refundable unless required by applicable law.
Failure to pay may result in:
• Suspension of services;
• Limitation of features;
• Termination of accounts.
BitWay reserves the right to update pricing and billing structures upon notice.
9. Data Protection and Privacy
BitWay processes information in accordance with its Privacy Policy.
Users retain ownership of their business data and customer communications.
You authorize BitWay to process, store, transmit, and analyze data necessary for providing the services.
BitWay does not sell customer data to third parties.
10. Data Retention
BitWay may retain account data, communications, backups, logs, and operational records for legal, regulatory, security, and business continuity purposes.
Upon termination, certain information may be deleted, anonymized, or archived according to operational requirements and applicable law.
11. Limitation of Liability
To the maximum extent permitted by law, BitWay Information Technology shall not be liable for:
• Indirect damages;
• Consequential damages;
• Loss of profits;
• Loss of business opportunities;
• Loss of goodwill;
• Data loss;
• Service interruptions;
• Third-party platform outages.
BitWay’s total aggregate liability shall not exceed the total fees paid by the customer during the twelve (12) months immediately preceding the event giving rise to the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless BitWay Information Technology, its directors, officers, employees, contractors, and affiliates against claims arising from:
• Your use of the platform;
• Violation of these Terms;
• Violation of applicable laws;
• Violation of third-party rights.
13. Account Suspension and Termination
BitWay may suspend, restrict, or terminate access without prior notice where:
• These Terms are violated;
• Required by law;
• Security concerns arise;
• Abuse of the platform is detected;
• Subscription payments remain outstanding.
Users may terminate their accounts at any time by contacting support.
14. Service Availability
BitWay aims to provide high service availability but does not guarantee uninterrupted or error-free operation.
Maintenance, updates, outages, third-party disruptions, or force majeure events may affect service availability.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
